Articles of Association

Article 1 (Name)
The association shall be referred to as the Korean Association of Deans of International Affairs (hereinafter, KADIA).

Article 2 (Location of Association)
The location of association shall be deemed as the place of president (school) of the association.

Article 3 (Purpose of Association)
Purposes of this association are to contribute to the mutual cooperation and exchange of information among domestic universities for the facilitation of international interchange and qualitative advancement thereof.

Article 4 (Constitution of Association)
The membership of this association is limited to departmental leaders or chiefs in charge of international affairs in domestic universities. The membership shall not be prepared for those working in remote or distant universities, and the board of directors of association may appoint special membership through deliberations therefor.

Article 5 (Meetings)
To achieve purposes of the association specified in the Article 3, the general meetings and the board of directors of the association are prepared therefor.

Article 6 (General Meeting)
① The types of general meeting are the regular and temporary ones wherein all members of the association are expected to attend.
② The regular general meeting shall be held once a year whereas the temporary general meeting(s) may be convened by the president secured an agreement of the board.
③ The general meeting shall be completed by an attendance of the majority of all members, and the decision made therefrom shall be completed by an approval of the majority of the attendance thereof.
④ The general meeting shall be the supreme decision making organ of association wherein the issues associated with the revision of the articles of association, election of board members, or those related with the operation of association shall be determined.

Article 7 (Board of Directors)
① The board of directors shall comprise one president, one senior vice president, up to 2 vice presidents, one auditor, up to ten board members, and up to two chiefs in charge of general affairs of association.
② The president, senior vice president, vice president(s), and auditor are supposed to be elected by the general meeting whereas the board members and chief(s) of general affairs shall be appointed by the elected president.
③ The term of office for board members shall be 1 year.

Article 8 (Duties of Directors)
Official duties of directors of the association are as defined in the following:
1. President: The presidency of association shall represent the association and is assumed to be a chair of the general meeting and the board of directors in charge of comprehensive administration thereof.
2. Senior Vice President: The senior vice president shall assist the president of association and can be deputized as the president on the absence of the president.
3. Vice President(s): The vice president(s) shall assist the president of association and may be deputized as the president on the absence of the president and senior vice president.
4. Auditor: The auditor of association shall audit the business activities and financial accounting details and shall provide the general meeting of association with the audit reports.
5. Directors: The directors of the board of association are entitled to participate in the operation of the association and making decisions thereof.
6. Chief of General Affairs: The chief of general affairs is responsible for doing general affairs according to orders issued by the president.

Article 9 (Finance)
① The financial requirements for the operation of association shall be furnished with the annual membership fees, entry fees, and contributions.
② The membership fees specified in Article 1 shall be determined by the board of directors before opening of the annual regular general meeting.
③ The auditor shall audit details of the financial appropriation submitted from the president (school) and shall submit the audit report(s) to the general meeting.

Addenda
(Effective Date) The articles of association shall be effective from December 9, 2009.
② (Interim Measures) Despite the rules stipulated in the Provision 3 of Article 7, the term of office of the firstly elected board members shall be lasted until August 31, 2010.
